As the market continues to explode, the makers and users of LED products encounter unique legal cross-roads. Picking the right path to take is difficult when the business is growing at a high rate of speed, or is facing transitional stress. This workshop will give you a grasp of fundamental legal concepts that every LED marketer should know so that legal problems, and thus costs, are avoided. How should the business be formed and operate from a legal standpoint to match its current situation and avoid any personal liability? What legal processes and agreements should be used to raise capital? How do you develop intellectual property (e.g., patents and trademarks) in order to gain competitive advantage and build business value. What agreements should be in place so that the business is not compromised by the ill-advised actions of owners, directors, shareholders, and employees? What diligence is due before making acquisitions? How to you create an exit strategy? These and other issues will be addressed by a group of legal specialists form a firm known for its representation of illumination-technology clients.
Marshall Honeyman is a patent attorney representing numerous clients in the lighting field, and in particular, LED fabrication and product implementations. Prior to entering private practice, he worked in the U.S. Patent and Trademark Office (USPTO) as an Associate Solicitor, handling law suits brought against the USPTO as well as ex parte appeals to the Court of Appeals to the Court of Appeals for the Federal Court. Before that, Marshall served as a USPTO Patent Examiner making patentability decisions regarding inventions relating to illumination technologies.
Michael Book specializes in business transactions. Mr. Book serves as general counsel for multiple business organizations, and has handled mergers, acquisitions and asset sales. He counsels clients on all aspects of large and small business operations, including employment matters, estate planning, vendor agreements and dispute resolution. .
Kim Wingate counsels clients with respect to corporate matters including business combinations, corporate acquisitions, dispositions and mergers and other fundamental business changes. More specifically, she handles private offerings of equity and debt securities; corporate control arrangements (including stockholder agreements, voting trusts, etc.); the formation of business entities; and disclosure requirements under state and federal securities laws.
Brett Bogan counsels clients in the intricacies of forming new business entities including corporations, partnerships and limited liability companies. This includes general business planning, capital structures, specialized stockholders agreements, joint venture agreements and the protection and licensing of technology. Brett guides clients through mergers and acquisitions and corporate finance, including asset purchases and sales, stock purchases and sales, mergers, joint ventures, bank financings and public and private stock offerings.
